These Terms of Service ("Terms") constitute a legally binding agreement between you and Vorion Technologies Limited ("Vorion", "we", "us", or "our"), a company registered in New Zealand. By accessing or using the Vorion platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform.
"Platform" refers to the Vorion website, merchant dashboard, bill joining interface, and all related services provided by Vorion.
"Merchant" refers to any business or individual that registers for a Vorion merchant account to create and manage group bills.
"Participant" or "User" refers to any individual who joins a bill and makes a payment through the Vorion platform.
Vorion provides a group payment coordination platform that enables merchants to generate QR codes and payment links for group bills. Participants can join a bill, view the total amount, split the cost (evenly or by custom amounts), and pay their share individually. Payments are processed by Stripe and funds are transferred to the merchant's connected Stripe account.
Vorion acts as a technology provider facilitating payment coordination. Vorion is not a party to the underlying transaction between the merchant and the participants, and is not responsible for the goods, services, or experiences provided by the merchant.
To use Vorion as a merchant, you must create an account by providing a valid email address, password, and business name. You must also connect a Stripe account to receive payments. You represent that all registration information is accurate and that you have the authority to operate on behalf of the business you register.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorised access to your account.
You may delete your merchant account at any time through the merchant dashboard. Account deletion permanently removes your merchant profile, bill history, and authentication credentials from Vorion's systems. This action cannot be undone. Deletion does not affect any payments already processed through Stripe.
All payments on the Vorion platform are processed by Stripe. When participants pay their share of a bill, their payment is first authorised (held) and then captured (charged) once the bill administrator confirms. Vorion does not handle, store, or process payment card information directly.
The following fees apply to each transaction on the Vorion platform:
Fees are calculated on each participant's individual share amount and are charged to the participant, not the merchant. The total amount charged to each participant includes their share plus applicable fees. Merchants receive the full bill amount with no deductions from Vorion.
All transactions on the Vorion platform are processed in New Zealand Dollars (NZD) unless otherwise specified.
Refunds for transactions processed through Vorion are the responsibility of the merchant. If a participant wishes to dispute a charge, they should contact the merchant directly in the first instance. Vorion does not have the ability to issue refunds on behalf of merchants.
If a payment is authorised but not captured (e.g., the bill is not completed), the authorisation hold will expire automatically according to Stripe's standard hold period, and no charge will be applied.
For payment disputes or chargebacks initiated through a participant's bank or card issuer, Stripe's standard dispute resolution process applies. Vorion will cooperate with merchants and Stripe in resolving disputes but is not liable for the outcome.

The Vorion platform, including its design, code, branding, logos, and all associated intellectual property, is owned by Vorion Limited. You may not copy, modify, distribute, sell, or lease any part of the platform, nor may you reverse engineer or attempt to extract the source code, except as permitted by New Zealand law.
Merchants may use Vorion-provided QR codes and payment links solely for the purpose of collecting payments through the Vorion platform.
To the maximum extent permitted by New Zealand law, including the Consumer Guarantees Act 1993:
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including liability under the Consumer Guarantees Act 1993 where applicable.
You agree to indemnify and hold harmless Vorion Limited, its directors, officers, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
We reserve the right to suspend or terminate your access to the Vorion platform at any time, with or without notice, if:
Upon termination, your right to use the platform ceases immediately. Any pending transactions may be completed or cancelled at Vorion's discretion.
We aim to provide reliable access to the Vorion platform, but we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide notice of planned downtime where possible.
The Vorion platform integrates with third-party services, including Stripe for payment processing and Google Firebase for infrastructure. Your use of these services is subject to their respective terms and conditions. Vorion is not responsible for the actions, availability, or policies of these third-party services.
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. For material changes, we will notify merchants via their registered email address at least 14 days before the changes take effect. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from or in connection with these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of New Zealand.
Before initiating any legal proceedings, you agree to attempt to resolve any dispute by contacting us directly. We will make reasonable efforts to resolve disputes informally within 30 days.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Vorion regarding your use of the platform and supersede any prior agreements or understandings.
